Short answer
Getting paid off-platform by a client met on a freelance marketplace usually breaks the marketplace's terms unless an allowed route is used. Upwork allows it after a Conversion Fee or two years. Fiverr prohibits it. Indian law does not ban direct payment, but the money must come through a bank, with FEMA export rules followed.
| Applies to | Governed by | Deadline | Penalty | Last verified |
|---|---|---|---|---|
| Freelancers in India who found a foreign client on a freelance marketplace and want to invoice and receive payment directly instead of through the marketplace | The marketplace's own terms of service (a private contract), plus the Foreign Exchange Management Act, 1999, the FEMA (Export and Import of Goods and Services) Regulations, 2026, the FEMA (Manner of Receipt and Payment) Regulations, 2023 and Section 2(6) of the IGST Act, 2017 for the direct payment itself | Upwork: payments stay on the site for 24 months from the start of the relationship unless a Conversion Fee is paid. FEMA: EDF within 30 days from the end of the invoice month and payment within nine months of the invoice date | Marketplace: possible permanent account suspension and fees under its terms (on Upwork, the Conversion Fee plus collection costs). Indian law: penalties under Section 13 of FEMA if export rules are not followed | 9 Oct 2026 |
What rules apply when a freelancer takes a marketplace client off-platform?
Two separate sets of rules apply when a freelancer moves a marketplace client off-platform: the marketplace's contract with you, and Indian foreign exchange and tax law. The marketplace terms decide whether you may leave and at what cost. Indian law decides how the direct payment must reach you and be reported.
- Upwork terms: Users agree to communicate and pay only through the site for two years from the date they first meet on Upwork, unless a Conversion Fee is paid (User Agreement, Section 7). A breach can lead to permanent suspension of the account (Section 7).
- Fiverr terms: Users may not offer or accept offers to contract, engage or pay outside the site (Terms of Service, Section 5.2). Sharing contact details to communicate outside Fiverr in order to get around its messaging system is not permitted (Section 8.1).
- Toptal terms: Toptal's public website terms cover use of the website only (Website Terms and Conditions). Rules on working with clients directly sit in the separate agreement each freelancer signs, so read your own copy.
- FEMA: A resident of India may receive payment from a person outside India only through an authorised bank or authorised person (Manner of Receipt and Payment Regulations, Regulation 3). Direct payment is a normal export of services under these rules.
- GST: A service counts as an export only if payment is received in convertible foreign exchange or in rupees where RBI permits (IGST Act, Section 2(6)(iv)).
Indian law does not care whether a client was found on a marketplace. The main legal question in India is whether the money arrives through a proper banking channel with the right paperwork. The main business risk is the marketplace contract, which you accepted when you signed up.
Which off-platform payment situations are allowed under Upwork and Fiverr terms?
Off-platform payment is allowed under marketplace terms only in narrow situations, such as paying Upwork's Conversion Fee, waiting out Upwork's two-year period, or a client you knew before the marketplace. The table sets out common situations against the published terms. Your own contract and any enterprise terms can differ.
| Situation | Allowed off-platform? | Why | Best for |
|---|---|---|---|
| Client met on Upwork less than 24 months ago, no fee paid | No | Payments must go through the site during the 24-month Non-Circumvention Period (Section 7.1) | Freelancers with a new Upwork client asking to pay directly |
| Client met on Upwork, Conversion Fee paid | Yes | Section 7.1 obligations end for that relationship once the client or freelancer pays the Conversion Fee (Section 7.3) | Long-term Upwork clients who want to contract directly |
| Upwork relationship of two years or more | Yes, after a nominal fee | The Conversion Fee falls to a nominal US$1 for administrative purposes (Section 7.3) | Freelancers with clients they have served on Upwork for over two years |
| Client you worked with before either of you joined Upwork | Yes | The Non-Circumvention Period does not apply if you did not identify each other through the site (Section 7.1) | Freelancers who brought an existing client onto Upwork |
| Buyer met on Fiverr | No | Offering or accepting payment outside the site is prohibited and is a material breach (Section 5.2) | Fiverr sellers approached by a buyer to pay directly |
| Client met through Toptal | Check your agreement | The public website terms do not cover client engagements (Website Terms and Conditions) | Toptal freelancers reviewing their own signed agreement |
How does a freelancer in India move a marketplace client to direct payment the correct way?
A freelancer moves a marketplace client to direct payment correctly by first clearing the marketplace terms, then setting up direct invoicing that meets FEMA and GST rules. The steps below cover both parts. The marketplace step comes first because Indian compliance does not fix a breach of contract.
- Check which marketplace terms apply to the client and when the relationship started. On Upwork, the 24-month period runs from the start of the Upwork relationship (Section 7.1).
- If the terms allow an exit by fee, settle it on the marketplace before any direct invoice. On Upwork, either the client or the freelancer can pay the Conversion Fee (Section 7.3).
- Sign a direct contract with the client covering scope, rates, currency, payment terms and ownership of work.
- Issue your own invoice showing the full value of the service. See the freelance invoice template for international clients.
- Ask the client to pay into your bank account in India or through an authorised person, in rupees or a foreign currency (Regulation 3(2)).
- Within 30 days from the end of the month in which you raise the invoice, submit an EDF for that month's export invoices (Regulation 3(2)). See EDF form for exports.
- Make sure the full amount arrives within nine months from the invoice date (Regulation 5(1)).
- Give your bank the correct purpose code when the money arrives and keep the bank's inward remittance advice with the invoice. See purpose code for freelancers.
How is the Upwork Conversion Fee calculated?
The Upwork Conversion Fee is 13.5% of estimated earnings over twelve months, worked out as the hourly rate multiplied by 2,080 (Section 7.3). It is a minimum of US$1,000 and up to US$50,000 per relationship, unless the relationship is at least two years old (Section 7.3).
- The hourly rate is the highest rate charged to that client on any contract, or the rate on your profile if there was no hourly contract (Section 7.3).
- Enterprise clients may have a different calculation under their own contract with Upwork (Section 7.3).
- Say a freelancer's highest hourly rate with a client is US$20. 20 x 2,080 is US$41,600, and 13.5% of that is US$5,616, which sits between the minimum and maximum.
Can a client pay a freelancer's direct invoice from a third party's account?
A client can pay through a third party only if your AD bank permits it. Under the 2026 regulations, an AD bank may permit third-party receipts for export transactions when it is satisfied the transaction is genuine (Regulation 8). Ask your bank before agreeing, and see third-party payment for exports.
Does a direct payment still count as an export of services for GST?
A direct payment counts as an export of services for GST when all five conditions in Section 2(6) of the IGST Act are met, including receipt in convertible foreign exchange or in rupees where RBI permits (Section 2(6)). A registered freelancer can then supply under an LUT. See what is an LUT.
Which documents should a freelancer keep for direct payments from former marketplace clients?
A freelancer should keep the direct contract, each invoice, the bank's inward remittance record and proof that any marketplace exit fee was paid. These records answer questions from the bank, the GST department and the marketplace. The table lists what each document proves.
| Document | What it proves | Who may ask | Best for |
|---|---|---|---|
| Conversion Fee receipt or written marketplace approval | The relationship left the marketplace under its terms | The marketplace, the client | Former Upwork clients now paying directly |
| Direct service contract | Scope, price and payment terms agreed with the foreign client | Your AD bank, a tax officer | Every direct client relationship |
| Export invoice | The full value of the service exported (Regulation 3(2)) | Your AD bank, GST and income tax authorities | Every billing cycle |
| EDF acknowledgement | The export was declared for that month (Regulation 3(2)(a)) | Your AD bank | Freelancers billing foreign clients every month |
| Bank inward remittance advice | Payment arrived through an authorised bank in foreign exchange. See FIRA for freelancers | GST refund officers, your accountant | Supporting zero-rated exports under GST |
| Exporter declaration for small invoices | Basis for closing EDPMS entries for exports up to Rs 10 lakh (Regulation 4(2)) | Your AD bank | Freelancers with invoices of Rs 10 lakh or less |
What happens if a freelancer takes payment outside Upwork or Fiverr without permission?
A freelancer who takes payment outside Upwork or Fiverr without permission risks losing the account and being charged fees under the marketplace terms. Upwork treats a breach as a material breach of its terms (Section 7.1). Separate Indian penalties arise only if the direct payment itself breaks FEMA or tax rules.
- Account loss: Upwork may close the account and revoke access to its services if it finds a breach of Section 7 (Section 7.3). Fiverr says a breach may lead to permanent disabling of the account (Section 5.2).
- Fees charged: Upwork may charge the Conversion Fee with interest, payable within 30 days if invoiced, plus investigation and collection costs including legal fees (Section 7.3).
- Buyer damages: Fiverr's terms say a buyer found to have breached the rule agrees to pay liquidated damages of US$10,000, where the law allows (Section 5.2).
- Lost protection: Fiverr states it does not provide protection for users who interact outside the site (Section 8.1). Upwork does not offer dispute assistance or payment protection even on its own Client Initiated Direct Contracts (Section 6.1.1).
- FEMA risk: If export proceeds stay unpaid for more than one year past the due date, further exports are allowed only against full advance or an irrevocable letter of credit (Regulation 13).
If you already moved a client without clearing the terms, contact the marketplace and ask about paying the Conversion Fee or another route its terms offer. On the Indian side, file any missed EDF with your AD bank, which may extend the deadline on request (Regulation 3(2)(c)), and match every receipt to an invoice.
What is the timeline for moving a marketplace client to direct payment?
The timeline for moving a marketplace client to direct payment runs on two clocks: the marketplace's restriction period and FEMA's export deadlines. Upwork's period is 24 months from the start of the relationship. FEMA deadlines start from each invoice you raise directly.
| Trigger event | Due date | Filed where | Best for |
|---|---|---|---|
| First meeting with a client on Upwork | Payments only through Upwork for 24 months, unless a Conversion Fee is paid (Section 7.1) | Upwork | Planning when a direct contract can start |
| Upwork invoices a Conversion Fee after finding a breach | Pay within 30 days (Section 7.3) | Upwork | Freelancers who received a breach notice |
| Direct invoice raised to the foreign client | EDF within 30 days from the end of that month (Regulation 3(2)) | Your AD bank | All freelancers invoicing directly |
| Direct invoice raised in foreign currency | Full payment within nine months from the invoice date (Regulation 5(1)) | Received through your AD bank | Freelancers billing in US dollars, euros or pounds |
| Direct invoice raised in Indian rupees | Full payment within twelve months (proviso to Regulation 5(1)) | Received through your AD bank | Freelancers who invoice foreign clients in rupees |
What mistakes do freelancers make when getting paid off-platform?
- Early contact: Sharing an email, phone number or messaging handle before a contract starts. Upwork requires communication through the site before a Service Contract (Section 7.2).
- Under-billing: Billing a lower amount on the marketplace and the rest directly. Upwork lists reporting a lower amount than actually agreed as a breach (Section 7.1).
- Personal wallets: Asking a client to pay through a channel that is not an authorised bank or authorised person. FEMA allows receipts from abroad only through those channels (Regulation 3).
- Missing EDF: Assuming that small direct invoices need no declaration. The EDF applies to services exported in any month (Regulation 3(2)(a)). See FEMA rules for freelancers.
- No contract: Starting direct work with only chat messages as the agreement. Without the marketplace, the written contract is your main evidence in a payment dispute.
- Tax gaps: Treating direct receipts differently from marketplace earnings when filing returns. Both are income from the same freelance work. See income tax on foreign income for freelancers.

Frequently asked questions
Is it illegal in India to accept a direct payment from an Upwork client?
Accepting a direct payment from an Upwork client is not illegal under Indian law if it comes through an authorised bank or authorised person and you follow FEMA export rules (Regulation 3). It can still breach your contract with Upwork. Upwork treats that as a material breach of its terms.
Does the Upwork Non-Circumvention Period apply to a client I knew before joining Upwork?
The Upwork Non-Circumvention Period does not apply when you did not identify each other through the site, such as when you worked together before meeting on Upwork (Section 7.1). Keep emails, contracts or invoices that show the earlier relationship. They help if Upwork asks how the client relationship started.
Can a Fiverr seller pay a fee to take a buyer off Fiverr?
The Fiverr Terms of Service do not describe a fee that lets a seller take a buyer off Fiverr. Section 5.2 prohibits offering or accepting payment outside the site and calls a breach material (Section 5.2). Contact Fiverr support before acting on any buyer's request to pay you directly.
Which purpose code should a freelancer use for a direct payment from a foreign client?
The purpose code for a direct payment depends on the service, as in the FETERS list (A.P. (DIR Series) Circular No. 84). For example, P0802 is "Software consultancy/implementation (other than those covered in SOFTEX form)" and P1006 is "Business and management consultancy and public relations services". Use the same code you would use for that service paid through a marketplace.
Does the Rs 10 lakh EDPMS declaration rule help freelancers paid directly?
The Rs 10 lakh rule helps freelancers paid directly because an EDPMS entry for an export up to Rs 10 lakh may be closed on the exporter's declaration (Regulation 4(2)). Most single freelance invoices fall under that value. Ask your AD bank what form of declaration it accepts.
Is an Upwork Client Initiated Direct Contract the same as getting paid off-platform?
An Upwork Client Initiated Direct Contract is still a contract run through Upwork with its own escrow instructions (Section 6.1.1). Payment does not leave the platform. Upwork states that dispute assistance and payment protection are not offered for Client Initiated Direct Contracts, so read those terms before using one.
What should a freelancer do if a Fiverr buyer offers to pay outside Fiverr?
A freelancer whose Fiverr buyer offers to pay outside Fiverr should decline and keep the conversation on the site. Fiverr's terms ask users to report such requests to Customer Support (Section 5.2). Accepting the offer risks the account, and Fiverr does not protect users who deal outside the site.
