Short answer

Form W-8BEN-E is a US tax form in which a foreign entity, such as an Indian company or LLP, documents its status for US withholding purposes. A US client asks for it before paying. It is given to the client, not filed with the IRS. Individuals use Form W-8BEN instead.

What does Form W-8BEN-E mean in simple words?

US payers must decide how much US tax to withhold when they pay a foreign person. By default, foreign persons are subject to US tax at a 30% rate on income from US sources, collected through withholding. Form W-8BEN-E lets a foreign entity tell the payer who it is, where it is resident for tax and whether it claims a lower treaty rate. The payer keeps the form on file. A single form can cover many payments until it expires. Whether any US tax applies at all to fees for services performed in India depends on where the work is done, a point covered in our page on foreign withholding tax.

For example, a Bengaluru design studio incorporated as a private limited company signs a contract with a US agency. The agency's finance team sends a request for a W-8BEN-E. The studio completes it as an entity, signs it and returns it to the agency, not to the IRS.

Why does Form W-8BEN-E matter for Indian exporters and freelancers?

  • Client onboarding: A US client or marketplace often will not release payment until it holds a valid form. Missing or incorrect forms can lead the payer to apply the default withholding rate.
  • Income tax: Any foreign tax actually withheld may be eligible for relief in India. See Form 67 and DTAA for how credit for foreign tax is claimed.
  • GST: The form has no GST effect. Zero-rating of export of services depends on the conditions in the IGST Act and your LUT, not on US forms.
  • Bank compliance: The form is not an RBI document. The payment itself must still be realised through banking channels within the period in Regulation 5 of the FEMA export regulations.

How does Form W-8BEN-E work?

Form W-8BEN-E works as a signed statement from the foreign entity to the payer. The payer uses it to decide the withholding rate and keeps it on file for the period it stays valid.

  1. The US payer requests the form during vendor onboarding.
  2. The entity completes the parts that match its status and country of residence.
  3. If it claims a treaty rate, the entity states that it is a treaty resident and meets any limitation on benefits conditions.
  4. The entity signs the form and gives it to the payer. The IRS instructions say not to send the form to the IRS.
  5. The payer applies the stated rate to payments and replaces the form when it expires or when the facts change.

How do you get and complete Form W-8BEN-E as an Indian entity?

You download the current form and instructions from the IRS website, complete the parts that apply to your entity type and give the signed form to your US client. Check the exact entries with a tax adviser.

  1. Download the latest form and instructions from the IRS page for Form W-8BEN-E.
  2. Enter the legal name, country of incorporation and permanent address of the entity.
  3. Choose the entity classification and chapter 4 status that matches how the entity is organised.
  4. Add the tax identifier the form asks for. Say whether your country issues a foreign tax identification number and give it where required.
  5. If you claim a treaty rate, complete the treaty section and keep a tax residency certificate ready if asked.
  6. Sign the form through an authorised signatory and send it to the client. Track the expiry date. The IRS says the form stays valid until the last day of the third succeeding calendar year after signing, unless circumstances change.

What is the difference between Form W-8BEN-E and Form W-8BEN?

Form W-8BEN is for individuals and Form W-8BEN-E is for entities. Both go to the payer, not the IRS. See what is W-8BEN for the individual form.

What do people get wrong about Form W-8BEN-E?

  • IRS filing: The form is not sent to the IRS. It goes to the payer who asked for it.
  • Individuals: A freelancer billing in their own name uses Form W-8BEN. A W-8BEN-E is for entities.
  • Zero tax: Submitting the form does not by itself remove US tax. It only documents status and any treaty claim.
  • Permanent validity: The form expires. Replace it when its validity period ends or when facts such as the address or entity status change.

FAQs about Form W-8BEN-E

Which form does an Indian company give a US client, W-8BEN-E or W-8BEN?

An Indian company, LLP or other entity gives Form W-8BEN-E. Form W-8BEN is for individuals. Choose by how you contract and invoice the client. If you invoice as a sole proprietor in your own name, the individual form is the usual one, so confirm with your adviser.

How long is a W-8BEN-E valid?

The IRS says a W-8BEN-E stays valid from the date of signing until the last day of the third succeeding calendar year. It can expire sooner if the entity's circumstances change. Track the expiry and send a fresh form to each client before then.

Do I send Form W-8BEN-E to the IRS?

No. The IRS instructions say not to send the form to the IRS and to give it to the person who requested it. That person is normally your US client, marketplace or other payer. Keep a signed copy for your records.

Does W-8BEN-E mean I will pay US tax?

Not automatically. The form documents your foreign status and any treaty claim, and the payer uses it to decide on withholding. Whether US tax applies depends on the type and source of income. Ask a tax adviser about your fee arrangement.

Can W-8BEN-E help claim credit for tax in India?

If US tax is actually withheld, India may allow relief through a treaty or a deduction, claimed with Form 67 for tax years under the old Act. Keep the payer's withholding statements. See our page on foreign withholding tax for the Indian side.
