Short answer
Withholding tax is income tax that a payer deducts from a payment and sends to the tax authority, so the recipient receives the balance. A foreign client may withhold tax from an Indian exporter's payment under its own country's rules. India then gives relief for the foreign tax through a treaty or a deduction.

| Not applicable. What does withholding tax mean in simple words?
The payer, not the recipient, sends the tax to the government. This makes collection easier, because the authority deals with one payer instead of many recipients. For cross-border payments, the payer's country may apply a default rate to foreign recipients. For example, US rules tax foreign persons at a 30% rate on some US-source income, collected through withholding. Many payments of fees for services performed outside the US are not US-source, and a treaty can reduce or remove the tax. The form your client asks for, such as a W-8BEN-E, documents your status. Our page on foreign withholding tax explains what to do when tax has been deducted.
For example, an Indian agency invoices a foreign client USD 10,000, but the client's accounts team pays USD 9,000 and says USD 1,000 was withheld and paid to its tax authority. The agency should ask for the withholding certificate or statement. The numbers are hypothetical.
Why does withholding tax matter for Indian exporters and freelancers?
- Cash received: The amount credited to your account can be less than the invoice. Compare it with the invoice and ask for the payer's withholding statement.
- Income tax: India allows relief through a treaty under section 159 of the Income-tax Act, 2025 or, where no treaty exists, a deduction under section 160. For tax years under the old Act, credit is claimed through Form 67.
- GST: Withholding tax is not GST. It does not change the zero-rating of an export of services under the IGST Act.
- Bank compliance: Under the FEMA export regulations, realisation is tracked against the invoice. Short receipts need a clear explanation to your AD bank, so keep the withholding statement.
How does withholding tax work?
Withholding tax works by shifting the duty to pay from the recipient to the payer. The payer deducts at the applicable rate, pays the authority and reports the deduction.
- The payer decides whether the payment is taxable in its country and at what rate.
- The payer asks the recipient for a status form, such as a W-8BEN or W-8BEN-E for US payers.
- The payer applies the rate that the form and any treaty support.
- The payer pays the deducted amount to its tax authority and issues a statement to the recipient.
- The recipient claims relief in its home country, using the statement as evidence.
How do you check the amount of withholding tax and the net you will receive?
You multiply the gross invoice by the withholding rate and subtract the result. The numbers below are hypothetical.
- Take the gross invoice. Say USD 5,000.
- Find the rate the payer applied. Say 10%.
- Compute the deduction: USD 500.
- Compute the net payment: USD 4,500, before bank charges and conversion.
- Ask for the withholding statement, check the rate against the treaty, and consult a tax adviser on credit in India.
What is the difference between withholding tax and TDS?
TDS is India's own system of tax deducted at source on payments made in India, while foreign withholding tax is deducted by a payer abroad. Both are credits against the recipient's final tax. See TDS on marketplace payouts.
| Point | Foreign withholding tax | Indian TDS | Best for |
|---|---|---|---|
| Who deducts | A payer outside India | A payer in India | Knowing which rules apply to a payment |
| Relief | Treaty or deduction under the 2025 Act | Credit against tax shown in the return | Claiming credit correctly |
| Evidence | Payer's withholding statement | Tax deduction statement in the tax record | Keeping the right proof |
What do people get wrong about withholding tax?
- Extra tax: Withholding is usually an advance collection of tax, not an additional tax. Credit or relief can reduce the final bill.
- Always applies: It does not apply to every foreign payment. Whether it applies depends on the payer's country, the type of income and where the work is done.
- Treaty automatic: A treaty rate generally needs the right documents on file with the payer.
- No record needed: You need the payer's statement to claim relief. Without it, the credit may not be allowed in full.

FAQs about withholding tax
Can a foreign client deduct withholding tax from an Indian exporter's payment?
Yes, if the client's country requires it for that type of income. Whether it does depends on the source of income and any treaty. Ask the client why tax was deducted and request a withholding statement. A tax adviser can advise on your specific case.
How does an Indian freelancer get relief for foreign withholding tax?
India gives relief under section 159 of the Income-tax Act, 2025 where a treaty applies, and under section 160 where none does. Earlier tax years use Form 67 under the old Act. Keep the withholding statement from the payer as evidence, and ask a tax adviser how to claim it.
Does a treaty reduce withholding tax?
A treaty can limit or remove foreign tax. For example, Article 15 of the India-US treaty makes independent professional services taxable only in the country of residence, unless a fixed base or a stay of 90 days or more applies. Documents such as a tax residency certificate may be needed.
What document shows that withholding tax was paid?
The payer's tax authority or the payer issues a statement or certificate of the tax withheld. The form and name differ by country. Ask your client for it, since India needs evidence of the foreign tax paid before allowing relief.
Is withholding tax the same as GST on exports?
No. Withholding tax is income tax collected from the payment, and GST is an indirect tax. Export of services can be zero-rated under the IGST Act while foreign income tax is still withheld. The two are claimed and reported separately.
